Touchpoint Sales Consulting

Version 2.1 — dated 29 September 2026

Parties

These Terms and Conditions (“Terms”) govern the agreement between:

RUSO HOLDINGS PTY LTD (ABN 98 896 353 318), trading as Touchpoint Sales Consulting, of 70b Kishorn Road, Mount Pleasant WA 6153 (the “Consultant”); and

the person or entity purchasing the Services (the “Client”).

By completing payment for the Services, the Client accepts these Terms.

1. The Services

1.1 The Consultant will provide the Sales Success Mentoring programme, comprising:

(a) two (2) full days of one-to-one mentoring;

(b) four (4) one-hour mentoring calls, ordinarily weekly, following the second full day;

(c) direct WhatsApp access to the Consultant for six (6) months from the date of the second full day, together with two (2) additional calls during that period as reasonably required;

(d) a personalised roadmap and strategy; and

(e) lifetime access to The One Hub.

1.2 Commencement and duration. The engagement commences on the date of the first full mentoring day and concludes at the end of the WhatsApp access period described in clause 1.1(c) — approximately seven and a half (7½) months in total. Specific session dates are scheduled by agreement through the Consultant’s booking calendar.

1.3 Rescheduling. Either party may reschedule a session by giving at least five (5) business days’ notice. A session cancelled by the Client with less than forty-eight (48) hours’ notice, or which the Client does not attend, is treated as delivered and is not rescheduled free of charge.

1.4 Scope. Any work outside the items listed in clause 1.1 is not included and will be quoted separately.

2. Fees and Payment

2.1 Fee. The fee for the Services is the amount set out in the proposal accepted by the Client and shown on the payment page at the time of purchase. All amounts are in Australian dollars and include GST unless stated otherwise.

2.2 Payment options. The Client may choose either:

(a) Pay in full — the full fee, payable before commencement; or

(b) Two payments — the fee paid in two equal instalments. The first is payable before commencement and the second is charged automatically thirty (30) days after the first. Option (b) carries a payment plan fee, which is included in the instalment amounts shown in the proposal and on the payment page, so the total payable under option (b) is higher than under option (a).

2.3 Method. Payment is made through the Consultant’s payment provider by card or BECS direct debit, or by bank transfer against a tax invoice where the Consultant agrees in advance.

2.4 Commencement conditional on payment. The Services do not commence until the first payment has been received and cleared.

2.5 Failed instalment. Where the Client has chosen option (b) and the second payment fails or is not received, the Consultant may suspend the Services until that payment is made. The amount remains payable in accordance with clause 3.1.

2.6 Tax invoice. A tax invoice showing GST is issued for each payment.

3. Cancellation, Refunds and Termination

3.1 Fees are non-refundable. Once the engagement has commenced, all fees paid are non-refundable and any unpaid instalment under clause 2.2(b) remains payable in full. The Client acknowledges that the substantial majority of the Consultant’s preparation and delivery occurs in the early weeks of the engagement.

3.2 Before commencement. If the Client cannot proceed on the scheduled dates before the engagement has commenced, fees paid are not refunded but will be credited towards rescheduled dates, provided those dates fall within six (6) months of the original first session.

3.3 Termination by notice. Either party may terminate this agreement by giving the other party at least four (4) weeks’ written notice. Clause 3.1 continues to apply on termination — no refund of fees paid is due, and any unpaid instalment remains payable.

3.4 No automatic renewal. This engagement does not renew automatically. Any continuation of services beyond the term described in clause 1.2 requires a separate written agreement.

4. Client Responsibilities

4.1 The Client is responsible for implementing the strategies, changes and actions developed during the engagement within their own business.

4.2 The Client will attend scheduled sessions, provide accurate and complete information about their business, and respond to reasonable requests for information needed to deliver the Services.

4.3 The Client acknowledges that results depend on their own implementation and on factors outside the Consultant’s control.

5. Intellectual Property

5.1 All materials, frameworks, templates, tools and intellectual property developed or supplied by the Consultant in connection with the Services remain the exclusive property of the Consultant.

5.2 The Client must not copy, reproduce, modify, resell or distribute any of those materials without the Consultant’s prior written consent.

5.3 Access to The One Hub is granted to the Client’s business and is personal and non-transferable. The Client’s own business data entered into The One Hub remains the Client’s property.

6. Confidentiality

6.1 Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services.

6.2 Confidential information must not be disclosed to any third party without the prior written consent of the disclosing party, except where disclosure is required by law.

6.3 This obligation survives the termination of this agreement.

7. Disclaimer and Limitation of Liability

7.1 The Consultant provides the Services with reasonable care and skill, but does not warrant or guarantee any particular revenue, profit, sales or other commercial outcome.

7.2 The Services are business mentoring and do not constitute financial, legal, accounting or taxation advice. The Client should obtain its own professional advice on those matters.

7.3 To the maximum extent permitted by law, and except in respect of rights that cannot lawfully be excluded, the Consultant’s total aggregate liability arising out of or in connection with this agreement is limited to the total fees paid by the Client under it.

7.4 To the maximum extent permitted by law, the Consultant is not liable for any indirect, consequential, special or incidental loss, or for loss of profit, revenue, data, goodwill or business opportunity.

7.5 Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

8. Use of Name and Logo

8.1 The Consultant may identify the Client as a client of Touchpoint Sales Consulting and use the Client’s business name and logo for that purpose in its marketing.

8.2 The Client may withdraw that permission at any time by written notice, and the Consultant will stop using the name and logo in new marketing material within a reasonable period.

9. Privacy

9.1 The Consultant handles personal information in accordance with the Privacy Act 1988 (Cth).

9.2 Information the Client enters into The One Hub is stored securely and is accessible only to the Client’s business and to the Consultant.

10. General

10.1 Governing law. This agreement is governed by the laws of Western Australia. The parties submit to the exclusive jurisdiction of the courts of Western Australia.

10.2 Entire agreement. These Terms, together with the accepted proposal, constitute the entire agreement between the parties and supersede any prior discussions or representations.

10.3 Variation. Any variation to these Terms must be agreed in writing by both parties.

10.4 Severance. If any provision of these Terms is found to be unenforceable, that provision is severed and the remaining provisions continue in force.

10.5 Version. The version of these Terms in force is the version published at the time the Client completes payment. This is version 2.1, dated 29 September 2026.
